Vendor Terms

Effective Date: 17 August 2025 Platform: https://api.cjdms.digital 1. Agreement Scope This agreement governs partnership between api.cjdms.digital (“Company”) and Vendors/Partners who provide resale, referral, development, or support services. 2. Vendor Obligations Promote and sell services honestly without false claims. Ensure compliance with WhatsApp Business & Meta policies. Not to misuse client data or compete unfairly with the Company. Deliver agreed support/services within timelines. 3. Commission & Payments Vendors may earn commission/referral fees as per signed agreement. Payouts are made monthly, subject to successful payment clearance. Any chargebacks, refunds, or fraud will reduce payout eligibility. 4. Intellectual Property All software, tools, logos, and branding remain the property of the Company. Vendors cannot rebrand or white-label without written permission. 5. Confidentiality Vendors must keep client & company information confidential. Unauthorized disclosure may lead to termination & legal action. 6. Termination Either party may terminate with 30 days’ notice. Breach of terms may result in immediate termination. 7. Limitation of Liability The Company is not liable for Vendor promises made beyond official offerings. Vendor disputes with clients are the Vendor’s responsibility. 8. Governing Law These Terms shall be governed by [Applicable Jurisdiction - Bhuj, Gujarat, India] laws.
